Terms of Use

1. Eligibility and accounts

You must be at least 13 years old or the minimum age required in your country to consent to use the Services. If you are under 18, you must have permission from your parent or legal guardian to use the Services. The Services are not directed to children under 13.

You must provide accurate account information, keep your sign-in method and device secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account. You may not share, sell, transfer, or create an account for someone without their authorization.

When creating an account, you must confirm that you are at least 13 and, if you are under 18, that you have permission from your parent or legal guardian. You must not falsely make this confirmation. Promio does not require your birth month or birth year for account creation.

Our native applications may ask Apple or Google to provide an age range or related supervision or approval status for your device account. Promio may prevent account creation or access when that information indicates that you are under the minimum age or that required parental or guardian approval is pending or denied.

2. The Services

Promio helps you turn intentions into private promises, work with AI-powered participants, record timeline messages, attach proof, request reviews, and retain a history of your promises. Features may be experimental, change over time, or produce unexpected results.

Promio is a self-management tool. It does not guarantee that you will keep a promise, achieve an outcome, or receive a particular review or participant result. Reviews classify user proof as accepted or insufficient. Participant results such as "Kept" and "Missed" are product classifications based on submitted or generated content and the promise deadline. They are not authentication, independent certification, legal verification, or statements by a licensed professional.

3. AI-generated content

The Services use artificial intelligence to assess promise safety, draft and refine promises, select and create fictional participants, generate participant introductions, responses, scheduled messages, proof images, missed explanations, and congratulations, create and retrieve memory, review user proof, and suggest follow-up promises. AI-generated messages, images, profiles, reviews, classifications, and other content are "Output." Output may be inaccurate, incomplete, misleading, offensive, or unsuitable for your circumstances. Similar Output may be provided to other users.

You are responsible for reviewing Output and deciding whether and how to use it. Do not rely on Promio as a substitute for professional medical, mental health, legal, financial, tax, emergency, or other expert advice. Do not delay seeking professional or emergency assistance because of anything in the Services. Promio participants are fictional AI-generated identities, not real people or licensed professionals, regardless of their biography, experience, or subject matter.

Promio does not continuously monitor conversations or your precise real-time location and cannot contact emergency services for you. If you or another person may be in immediate danger, contact local emergency services and a trusted person nearby. In the United States, you may call or text 988 for the Suicide & Crisis Lifeline.

Scheduled messages may be delayed, fail, or never arrive. Do not rely on Promio for medication, emergencies, court or tax deadlines, payments, caregiving, personal-safety check-ins, or any other safety-critical reminder.

An AI participant may generate an image presented as its proof and may receive a "Kept" or "Missed" result. Participant proof is synthetic Output, is labelled as AI-generated in the Services, and is not evidence of a real person's actions. Reviews of user proof assess only whether visible content appears consistent with the promise; they do not authenticate the image, identity, ownership, time, location, or underlying event.

4. Your content

You may submit prompts, promises, messages, images, proof, profile information, agent details, and other material ("Your Content"). You retain your ownership rights in Your Content. You grant Promio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, transmit, and display Your Content only as needed to operate, secure, maintain, improve, and provide the Services, comply with law, and enforce these Terms. This license ends when Your Content is deleted from our systems, except where continued retention is permitted by our Privacy Policy or required by law.

You represent that you have all rights and permissions needed to submit Your Content and allow us to process it as described in these Terms. You are responsible for Your Content and for any consequences of creating promises or sharing proof that concerns another person.

5. Acceptable use

You may not use the Services to:

• violate any law, regulation, court order, contract, or third-party right;
• submit content that is unlawful, threatening, harassing, hateful, defamatory, or exploitative;
• facilitate self-harm, violence, abuse, sexual exploitation, or harm to minors;
• impersonate another person or misrepresent affiliation, identity, evidence, or achievement;
• upload malware or attempt to disrupt, overload, probe, or bypass security of the Services;
• access another user's account or nonpublic data without authorization;
• scrape, harvest, or extract data except as expressly permitted by us;
• reverse engineer the Services except where applicable law prohibits this restriction;
• use automated means to create accounts or access the Services without permission;
• infringe intellectual property, privacy, publicity, confidentiality, or other rights; or
• use Output to make high-impact decisions about another person without appropriate human review.

6. Third-party services

The Services rely on or may link to third-party services, including identity, platform age assurance, cloud, AI, email, and storage providers. Their services and content are governed by their own terms and policies. Promio is not responsible for third-party services that we do not control.

7. Promio's rights

The Services, including their software, design, branding, interfaces, and documentation, are owned by Brian Cho, operating Promio, or our licensors and are protected by intellectual property laws. Subject to these Terms, Promio gives you a limited, personal, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. No other rights are granted.

8. Feedback

If you voluntarily provide ideas, suggestions, or feedback about Promio, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation to you. This does not give us ownership of Your Content.

9. Availability and changes

We may add, modify, suspend, or discontinue features or the Services. We do not promise that the Services will always be available, uninterrupted, secure, or error-free. We may establish usage limits where reasonably necessary. If we introduce paid features, applicable prices and payment terms will be presented before you purchase them.

10. Suspension and termination

You may stop using the Services at any time and may delete your account from your account page. We may suspend or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, used the Services fraudulently or abusively, or if needed to protect the Services or others. Where appropriate, we will try to provide notice.

After termination, provisions that by their nature should survive will remain in effect, including provisions concerning ownership, feedback, disclaimers, liability, indemnification, disputes, and general terms.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROMIO DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES OR OUTPUT WILL MEET YOUR NEEDS, PRODUCE ANY RESULT, OR BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you. You may have additional rights under applicable law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIAN CHO, OPERATING PROMIO, AND PROMIO'S AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIAN CHO'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PROMIO FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

The limitations in this section do not apply where prohibited by law or to liability that cannot lawfully be limited.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Brian Cho, operating Promio, and Promio's agents, suppliers, and licensors from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your violation of these Terms or another person's rights. This obligation does not apply to the extent a claim results from Promio's own unlawful conduct.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a formal claim, you and Promio agree to try in good faith to resolve the dispute informally by sending a written description to [email protected] and allowing 30 days for a response.

If a dispute is not resolved informally, it may be brought in a court with lawful jurisdiction under applicable procedural rules. Nothing in these Terms limits any non-waivable consumer right or your ability to bring a matter in small claims court or report concerns to a regulator.

15. General terms

These Terms and the Privacy Policy are the entire agreement between you and Promio regarding the Services and replace prior agreements on the same subject. If a provision is unenforceable, it will be modified only as much as necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Services.

We may update these Terms. We will post the revised Terms and update the date above. If a change is material, we may provide additional notice as required. Your continued use after updated Terms take effect means you accept them; if you do not agree, you must stop using the Services.
